NOTICE ON EXCESSIVE SHARE CERTIFICATE SPLITTING

To facilitate the efficient administration of share registration services and to prevent excessive issuance of odd-lot share certificates, we, as the registrar of the Listed Issuers, will apply the following new arrangements to requests involving the splitting of share certificates into certificates representing one share or an odd-lot number of shares (being less than one board lot).

Every shareholder requests made for bona fide gift or collection purposes may be accepted on a one-time basis only, subject to the conditions below:

Circumstance Arrangement
The shareholder does not currently hold any share certificate(s) representing one share or an odd-lot number of shares The request may be accepted. A maximum of three certificates representing one share each or an odd-lot number of shares may be issued.
The shareholder has existing holdings, but none of share certificate(s) representing one share or an odd-lot number of shares The request may be accepted. A maximum of three certificates representing one share each or an odd-lot number of shares may be issued.
The shareholder already has share certificate(s) representing one share or an odd-lot number of shares The request will not be accepted.

The above arrangement applies, among others, to requests arising from:

  • withdrawal of shares from HKSCC;
  • transfers of shares from another shareholder(s); and
  • splitting of existing share certificate already registered in the shareholder’s own name.

The registrar reserves the right to request supporting information and to decline any request which it considers may result in excessive certificate splitting or is not consistent with the purpose of these arrangements.
